List or Let Terms of Use

Last updated: November 2, 2026

These Terms of Use ("Terms") are a legal agreement between you and Agensys ("List or Let," "we," "us," or "our"), the operator of the List or Let website, web app, and any future mobile apps (together, the "Service"). Agensys is in the process of forming as a limited liability company; we will update these Terms with the confirmed legal entity name once formation is complete.

By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy at https://www.listorlet.com/privacy. Please read Section 17 carefully. It requires most disputes to be resolved through individual arbitration, waives class actions, and explains how to opt out within 30 days. If you do not agree, do not use the Service.

1. Who We Are

List or Let helps people decide whether to sell, keep, or buy items, and helps them prepare listings. The Service is operated by:

Agensys
PO Box 141
Gaylord, MI 49735
Email: support@listorlet.com

2. Eligibility (18+) and Children's Privacy

You must be at least 18 years old to create an account, use the Service, or buy credits. By using the Service, you confirm that you are 18 or older and able to form a binding contract.

The Service is not directed to children. We do not knowingly collect personal information from anyone under 18, and in particular we do not knowingly collect personal information from children under 13, consistent with the Children's Online Privacy Protection Act (COPPA). If we learn that an account belongs to someone under 18, we will close it and delete the associated personal information, except where we must keep it by law. If you believe a minor has given us information, contact support@listorlet.com.

3. Your Account

4. Personal and Business Use

You may use the Service for personal use or for your resale or small-business activity. Commercial users are bound by these Terms in the same way as everyone else, and the estimates, verdicts, and other results are still not guarantees (see Section 12). You may not resell, sublicense, or redistribute the Service itself (as opposed to using its results for your own listings) without our written permission.

5. Free Scan and Credits

Free scan. Your first item identification scan is free, limited to one free scan per email address. We may also limit free scans per person or device to prevent abuse. After your free scan, each scan costs 1 credit. Worth It? and other paid features cost the number of credits shown in the product before you use them.

Credit packs. Credits are sold as one-time packs:

Pack Price (USD) Credits
Starter $4.99 25
Plus $14.99 100
Pro $34.99 300

Prices are in US dollars, plus any applicable tax. We may change pack prices or the credit cost of features in the future, but changes will not affect packs you have already bought.

Purchased credits expire 24 months after the date of purchase. Your account shows the expiry date for your credits, and we will email you a reminder at least 30 days before purchased credits expire.

Promotional and bonus credits (credits we give you for free, for example in a promotion) expire 90 days after they are issued, are not refundable, and have no cash value.

How credits are used. When you use a paid feature, your purchased credits are used first, then any promotional or bonus credits.

Credit rules. Credits are a limited license to use features of the Service. Except where the law requires otherwise and except as stated in Sections 7 and 15 (refunds and shutdown), credits have no cash value and cannot be redeemed for cash. Credits cannot be transferred, sold, gifted, or combined across accounts. If we terminate your account for breaking these Terms, promotional and bonus credits may be cancelled, and purchased credits may be forfeited to the extent the law allows.

We disclose these credit terms on the purchase screen as well as in these Terms.

6. Purchases and Payments

7. Refunds

Except where the law requires otherwise:

8. The Worth It? Feature, Listing Tools, and Deal Checker

The Service includes tools such as:

These tools may use photos and details you provide, comparable sales ("comps"), publicly available and third-party data, and automated or AI-assisted analysis, including third-party AI services described in our Privacy Policy. Results can be incomplete, outdated, or wrong. See Section 12.

9. Listings, Connected Accounts, and Third Parties

List or Let is not a marketplace and is not a party to any sale or purchase. We do not buy, sell, hold, ship, inspect, or authenticate items. You decide what to list, where, and at what price, and you are responsible for making sure your listings are accurate, legal, and follow the rules of any marketplace where you post them.

Connected accounts. If you connect a third-party marketplace account (for example, eBay), you authorize us to act on that account as described in the Service and our Privacy Policy, such as creating and publishing listings that you review and approve. You can disconnect at any time. Your use of that marketplace is governed by its own terms, and you are responsible for your listings, sales, and obligations there.

Third-party services. We do not control third-party websites, marketplaces, or services and are not responsible for their content, policies, availability, or actions.

10. Acceptable Use

You agree not to:

  1. Use the Service for anything illegal, fraudulent, or misleading, including listing stolen, counterfeit, recalled, or prohibited items;
  2. Upload content you do not have the right to use, or that infringes anyone's intellectual property, privacy, or publicity rights;
  3. Upload content that is harassing, hateful, sexually explicit, violent, or otherwise objectionable;
  4. Scrape, crawl, or use bots or other automated means to access the Service or extract data, except as we expressly allow;
  5. Reverse engineer, decompile, or try to extract the source code or underlying models of the Service, except where the law permits it;
  6. Interfere with or disrupt the Service, including uploading malicious code, probing for vulnerabilities without permission, or overloading our systems;
  7. Get around usage limits, credit requirements, free-scan limits, or security features;
  8. Use the Service or its results to build a competing product or dataset; or
  9. Impersonate any person or misrepresent your connection with anyone.

We may investigate and act on any violation, including removing content and suspending or ending accounts.

11. Your Content, Our Use of Data, and Intellectual Property

Your Content. "Your Content" means photos, descriptions, and other material you submit. You keep ownership of Your Content. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze, adapt, and display Your Content to operate, provide, secure, and improve the Service, including to share it with service providers and connected marketplaces as needed to do what you ask. You confirm that you have the rights needed to submit Your Content and that it does not violate these Terms or the law.

Model training and improvement. We may use data from your use of the Service, including Your Content and de-identified data, to train and improve our models and services. Our Privacy Policy at https://www.listorlet.com/privacy explains how we handle personal information.

Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

Our intellectual property. The Service, including its software, design, text, graphics, logos, and the names "List or Let" and "Worth It?", belongs to us or our licensors and is protected by intellectual property laws. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable license to use the Service. You may use the results you receive, such as listing text, for your own listings. All rights not expressly granted are reserved.

Copyright complaints (DMCA). We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512. Our designated agent is registered in the U.S. Copyright Office's DMCA Designated Agent Directory:

Ian Murphy, DMCA Agent
Agensys
PO Box 141
Gaylord, MI 49735
Email: dmca@listorlet.com

Under 17 U.S.C. § 512(c)(3), a notice must be in writing and include: (a) a physical or electronic signature of the copyright owner or a person authorized to act for them; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient for us to locate it; (d) your contact information, including address, phone number, and email; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner.

Counter-notices. If your content was removed and you believe it was removed by mistake or misidentification, you may send a counter-notice to our DMCA agent that includes: your physical or electronic signature; identification of the removed material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and your name, address, and phone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the US, any judicial district in which we may be found) and will accept service of process from the person who sent the original notice. We may restore the material as the DMCA permits unless the complaining party tells us it has filed a court action.

Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

Other legal notices. Trademark complaints and other legal notices go to support@listorlet.com.

12. Disclaimers

Estimates are opinions, not promises. Comps, sell estimates, sell values, Worth It? verdicts, buy deal verdicts, deal-checker results, suggested prices, and any other results from the Service are informational opinions based on available data. They are not appraisals, authentications, guarantees, offers to buy or sell, or financial, investment, tax, or legal advice. We do not guarantee that you will sell an item for any price, that an item will sell at all, that a deal is good, or that an item is authentic, safe, or as described. Some results are produced by automated systems, including AI, that can misidentify items or make mistakes. Use your own judgment and, when it matters, get advice from a qualified professional.

"As is." TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

These limits apply to every legal theory, whether contract, tort (including negligence), statute, or otherwise.

Exceptions. Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) our gross negligence or willful misconduct, to the extent such a limit is unenforceable; or (d) any other liability that cannot be limited or excluded under applicable law. Our shutdown refund commitment in Section 15 also applies regardless of this section.

Some jurisdictions do not allow certain limits. Some states and jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those places, some of the disclaimers and limits above may not apply to you, and our liability is limited to the fullest extent the law allows.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless List or Let, Agensys, and its owners, members, employees, contractors, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) Your Content; (c) any listing, sale, or purchase you make; (d) your violation of these Terms; or (e) your violation of any law or anyone else's rights. This obligation is not subject to the liability cap in Section 13. We may take control of the defense of any claim, and you agree to cooperate.

15. Account Deletion, Suspension, Termination, and Shutdown

Deleting your account. You can delete your account at any time in your account settings or by emailing support@listorlet.com. When you delete your account, we delete your account profile, photos, item details, listing content, and connected marketplace tokens, as described in our Privacy Policy. We may keep: billing and transaction records we need for tax, accounting, refunds, and fraud prevention; information subject to a legal hold or that we must keep by law; limited backup copies for a short period until they are overwritten; and de-identified data, including data already used to train or improve our models, which can no longer be linked to you. Unused credits are forfeited when you delete your account, except where the law requires otherwise or a refund applies under Section 7.

Suspension and termination by us. We may suspend or end your access, remove content, or cancel credits obtained through abuse if we reasonably believe you have broken these Terms, created risk or legal exposure for us or others, or used the Service fraudulently. Where reasonable, we will notify you.

Shutdown refund. If we discontinue List or Let, or the Service stops operating for more than 30 consecutive days for a reason other than scheduled maintenance or force majeure, we will refund your unused purchased credits pro rata at the price you paid for the pack they came from. This does not include promotional or bonus credits, expired credits, or credits on accounts terminated for cause. Where reasonably possible, we will give at least 30 days' notice by email and a banner on the site. Refunds go to your original payment method within 30 days after shutdown, once we verify your unused balance. This is an express commitment that applies despite the no-cash-value rule in Section 5 and the liability cap in Section 13. If a refund cannot be completed because of force majeure or a payment-processor failure, we will keep trying for 12 months, after which any unclaimed amounts will be donated to charity, except where the law requires us to handle them differently.

Other changes to the Service. We may change, suspend, or discontinue features of the Service.

What survives. Sections that by their nature should survive termination, including Sections 5 (credit rules), 7, 11, 12, 13, 14, 15, 16, 17, and 20, will survive.

16. Governing Law and Courts

These Terms and any dispute between you and us are governed by the laws of the State of Michigan and applicable United States federal law (including the Federal Arbitration Act), without regard to conflict-of-law rules.

Any dispute that is not subject to arbitration under Section 17, including disputes for anyone who opts out of arbitration, will be brought only in the state or federal courts located in, or whose district includes, Otsego County, Michigan, except where prohibited by applicable law. You and we consent to the personal jurisdiction of those courts.

17. Dispute Resolution and Individual Arbitration

Please read this section carefully. It affects your legal rights.

(a) Notice first. Before starting arbitration or a court case, the party with a claim must send a written notice describing the claim and the relief requested. Send notices to us at support@listorlet.com or by mail to Agensys, PO Box 141, Gaylord, MI 49735. We will send notices to the email address on your account. Both sides will try in good faith to resolve the dispute informally for 30 days after the notice is received.

(b) Agreement to arbitrate. If the dispute is not resolved, you and we agree that any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration, not in court, except as stated below. You and we waive the right to a jury trial.

(c) Rules and administrator. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. If the AAA is unavailable or declines to administer the arbitration, it will be administered by JAMS under its applicable consumer rules. A single arbitrator will decide the dispute and may award the same individual relief a court could award, consistent with these Terms.

(d) Hearings. Hearings will be held online (by video or phone) or in Otsego County, Michigan, whichever you choose. For smaller claims, the arbitration may be decided on written submissions if the rules allow and you agree.

(e) Fees. You pay only the share of AAA filing and administrative fees that the AAA Consumer Rules assign to the consumer. We pay all other AAA fees and arbitrator compensation as those rules require. Each side pays its own lawyers' fees and costs unless the arbitrator orders otherwise under applicable law or the rules.

(f) Exceptions. Either party may bring an individual claim in small claims court if it qualifies and stays there. Either party may also ask a court to stop infringement or misuse of intellectual property.

(g) Class-action waiver. You and we agree that disputes will be brought and resolved only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action, whether in arbitration or in court. The arbitrator may not combine claims of more than one person or preside over any class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be decided in the courts described in Section 16, after any arbitrable claims are resolved.

(h) 30-day opt-out. You may opt out of this arbitration agreement by sending written notice to support@listorlet.com within 30 days after you first accept these Terms. Include your name, account email, and a clear statement that you opt out of arbitration. If you opt out, disputes will be resolved in the courts of Otsego County, Michigan, under Michigan law, as described in Section 16. The class-action waiver, the 30-day notice requirement, and the one-year time limit still apply. Opting out does not affect any other part of these Terms.

(i) One-year time limit. Any claim must be filed in arbitration or court within one year after it arises, or it is permanently barred, except where applicable law does not allow this period to be shortened.

(j) Severability. If any part of this Section 17 (other than the class-action waiver, which is covered in (g)) is found unenforceable, the rest of it still applies.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last updated" date and, where appropriate, notify you by email or an in-app notice before the changes take effect. Changes will not apply to disputes that arose before the change. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, stop using the Service and you may delete your account.

19. Apple App Store and iOS App Terms (iOS Launch Placeholder)

This section is a placeholder for our future iOS app. It does not apply until the iOS app is released, and it will be completed with the end-user terms Apple requires before we submit the app to the App Store.

When the iOS app is released, these Terms are expected to provide that:
